Honeywell to Acquire Carrier Global Access Solutions Business for $4.95B

Carrier Global Corp. entered into a definitive agreement to sell its security business, Global Access Solutions, which includes the LenelS2, Supra and Onity brands, to Honeywell for $4.95 billion.

The deal represents approximately 17 times 2023 expected EBITDA. The sale agreement is a successful first step in Carrier’s portfolio transformation, the company said.

With approximately 1,200 employees operating in 33 countries, Carrier’s Global Access Solutions business manufacturers advanced access and security solutions, electronic locking systems and contactless mobile key solutions. The transaction will allow the business to build on the strength of its leading brands, innovative solutions, strong partner relationships and high growth potential, the company said.

“Global Access Solutions is a great business with dedicated, customer-focused teams, and we look forward to watching its continued growth under the ownership of Honeywell,” stated Carrier Chairman & CEO David Gitlin. “The transaction, together with the planned exits of our Industrial Fire, Residential and Commercial Fire and Commercial Refrigeration cabinet businesses, will accelerate our growth strategy and focus, positioning Carrier to deliver higher growth and superior shareholder value and further reinforcing our track record of performing while transforming.”

Carrier expects net proceeds from the transaction to be approximately $4 billion and intends to use the proceeds to pay down debt. The company anticipates resuming share repurchases as soon as its net leverage returns to approximately 2x EBITDA.

Honeywell said the acquisition, which includes both hardware and software solutions, further supports its recently announced plans to align its portfolio to three megatrends: automation, the future of aviation and energy transition, underpinned by robust digitalization capabilities and solutions. The Global Access Solutions business will enhance Honeywell Building Technologies’ business model of leading with high-value products that are critical for buildings, the company said.

“Honeywell’s strong track record delivering building automation products and services makes this a natural fit that will create a leading security platform with forecasted annual revenue in excess of $1 billion,” said Vimal Kapur, CEO, Honeywell. “By leveraging the capabilities of the combined company’s advanced security and safety systems, customers will be able to maximize their performance, efficiency and cost-effectiveness and create long-term, sustainable value.”

The proposed sale is subject to regulatory approvals and customary closing conditions. It is expected to close before the end of Q3 2024.

Goldman Sachs & Co. LLC and J.P. Morgan Securities LLC are serving as financial advisor to Carrier. Paul, Weiss, Rifkind, Wharton & Garrison LLP and Linklaters LLP are providing external legal counsel.

Everon Makes 1st Acquisition: Newtech Systems

Everon, formerly ADT Commercial, announced the purchase of Newtech Systems of Ashland, Ky. The transaction marks the first M&A activity for Everon since its establishment as a standalone organization with GTCR’s acquisition in October, and makes steps toward delivering on the company’s objectives for growth and geographic expansion.

Hybrid-Cloud Adoption Over the Last 3 Years

According to Genetec’s 2024 State of Physical Security report, 44 percent of end users reported that more than one-quarter of their physical security setups are now either in the cloud or use a combination of cloud and on-premises solutions. This is a significant jump from the 24 percent reported in last year’s survey. Based on insights from over 5,500 physical security leaders worldwide (including end users and channel partners), the report looks at the security strategies organizations are putting in place to effectively navigate the realities of a changing industry.

Pye-Barker Fire & Safety Acquires 4 Sonitrol Locations

Pye-Barker Fire & Safety has acquired three companies from the Sonitrol Security Systems network. Pye-Barker closed in November on Sonitrol Security Services (dba Sonitrol of the Carolinas); Sonitrol of Charleston; and Sonitrol of the Midlands. Through these transactions, the Atlanta-based company gained four new locations, strengthening its market position as a single-source provider for integrated life-safety protection in North Carolina and South Carolina.

All three Sonitrol companies offer security alarms, fire detection, video surveillance and access control services. Sonitrol of the Carolinas — which operates locations in Charlotte, N.C., and Greenville, S.C. — was the 2023 recipient of the Sonitrol Dealer of the Year award. Led by Wylie Fox and Bill Price, the company ranked No. 67 on the 2023 SDM 100. Sonitrol of Charleston and the Midlands — referred to collectively as Sonitrol South Carolina and owned by John, Alan and Michael Rama — serve customers from locations in Charleston and Columbia, S.C., and have been an integral part of the community since 1978. The owners of these Sonitrol acquisitions reflected on their decision to join the Pye-Barker Fire & Safety family of companies.

LenelS2 Launches ‘On the Safe Side’ to Address Need for More School Security Resources

LenelS2, a global provider of advanced physical security solutions, announced the launch of On the Safe Side, a program designed to empower families, schools and communities to have more impactful conversations about school security.

The program will be part of an ongoing commitment to improve support for families and schools, according to the announcement. In consultation with National PTA, LenelS2 has developed resources for families and administrators to drive conversations about the physical security and safety of their schools. The company has also partnered with actor and father, Chad Michael Murray, to help bridge the education gap and drive awareness around this complex and critical topic.

“As I watch my children grow, my instinct to protect them grows too,” Murray said. “Their safety is the most important thing to me. Like most parents, we make an effort to talk about safety with our kids, but so often, it’s hard to know where to begin. Schools often have limited means and funds available to help safeguard their facilities from threats other than fire. As part of On the Safe Side, LenelS2 has developed tools for administrators to help them navigate the government funding process and bring in physical security features for their facilities. Additionally, the company has developed a conversation guide, in consultation with National PTA, to help parents and caregivers understand how to discuss school security with their children and schools.

Ollivier president and CEO Louis Boulgarides brings to Security-Net a diverse and extensive career in the security industry. With more than 33 years of experience, he has a strong background in cloud-based solutions, including managed services. CertaSite, a commercial fire protection and life safety company, announced the acquisition of Allied Safety Services, a fire extinguisher and kitchen suppression system business in Indianapolis, Ind. The acquisition is CertaSite’s third in its home state of Indiana.

Founded in 2018, CertaSite provides customer service, building safety and code compliance to customers across the Midwest. The company says it goes beyond compliance, focusing on partnerships and professionalism while providing customers a simplified and dependable solution to managing all of the fire protection and life safety systems in commercial buildings.

SIA Opens Nominations for 2024 Women in Security Forum Power 10

The Security Industry Association (SIA) has opened the call for nominations for the 2024 SIA Women in Security Forum (WISF) Power 100. All nominations must be submitted by Jan. 31.

Now in its third year, this annual initiative, presented by the SIA Women in Security Forum, honors 100 women in the security industry whose outstanding accomplishments and success stories are breaking barriers, redefining the faces of leadership and showcasing the innovative contributions women bring to the industry.

“SIA is thrilled to launch the third year of the Women in Security Forum Power 100 program — a hallmark WISF initiative that honors the inspiring women leading, innovating and transforming our industry,” said Don Erickson, SIA CEO. “We encourage all SIA members and the global security community to submit nominations and help us identify and recognize the exceptional women leaders in their organizations.”

American Red Cross Honors Allied Universal Security Professional

Mark Paul, a security professional for Allied Universal was honored by the American Red Cross at its Evening of the Stars event for his heroic actions that saved a life.

Paul was recognized at the event on Nov. 14, 2023, for assisting an individual in need and saving their life. While on shift at Allied Universal’s client State Farm Park in Illinois, Paul helped a State Farm employee who collapsed from cardiac arrest by administering CPR while another worker administered an AED (automated external defibrillator). He credits his swift call to action to his military and first aid training that resulted in saving the individual’s life.

“Today, I am profoundly inspired by the heroism displayed by our dedicated security professional who, in a moment of crisis, went beyond the call of duty,” said Steve Jones, global chairman and CEO of Allied Universal. “In saving a life through CPR, Mark Paul reminds us that our commitment to safety extends far beyond the confines of our roles. ASIS Announces Annual International Public Law Enforcement/Private Security Partnership Day

The International Association of Chiefs of Police (IACP), the National Sheriffs’ Association (NSA), and ASIS International (ASIS) announced the initiation of the Public Law Enforcement/Private Security Partnership Day. Public-Private Partnership Day is a long-term collaborative effort between all three founding organizations and was approved by the boards of directors from all three partner organizations. It will occur on the fourth Thursday of April every year, with the inaugural Public-Private Partnership Day occurring on April 25.

The mission of Public-Private Partnership Day is to foster and support the development of strong, robust and enduring partnerships between the public safety community and the private security professions. A shining example of such a partnership is the New York City Police Department (NYPD) SHIELD program, a public-private partnership liaison program between the NYPD and New York City’s private and public sectors that has been instrumental in the fight against terrorism and criminal activity. The program has led to significant improvements in public safety and has become a model for similar programs globally.

Through these partnerships, leaders in the private security profession can collaborate with the leaders of the law enforcement and public safety community, and vice-versa.
